NOTE TO USERS FROM OUTSIDE THE UNITED STATES: This Privacy Notice and the Terms of Service are governed by United States law, and we currently only accept business and visitors of the Services within the United States. Translations of the Services into languages other than English are for your convenience only. In the event you visit the Services from outside the United States, please know that your information may be transferred to, stored, and processed in the United States, where our servers are located and our central database is operated. The laws of the United States and other countries might not be as comprehensive as those in your country. By using the Services, you understand that your information may be transferred to our facilities, our affiliated companies, and to those third parties with whom we may share it, and that such data processing may not take place in your country of residence.

  1. CHILDREN UNDER THE AGE OF 16

No part of the Services is intended or designed to attract children under the age of 16.

We do not collect Personally Identifiable Information (as defined below) from any person we actually know is a child under the age of 16. If you are under the age of 16, do not use or provide any information on the Services or on or through any of its features, register to use the Services, use any of the interactive or public comment features of any part of the Services or provide any information about yourself to us, including your name, address, telephone number, e-mail address or any screen name or user name you may use.

If we learn we have collected or received Personally Identifiable Information from a child under the age of 16, we will delete that information. If you believe we might have any information from or about a child under the age of 16, please contact us by sending us an e-mail stating your request to privacy@ship.cars or contacting us in writing at the address provided below.

  1. INFORMATION WE COLLECT

We may collect several types of information from and about you (if you're an individual) or your Authorized Users (some of which is considered " Personal Identifiable Information" pursuant to applicable law), including:

  • Identifiers, such as name, mailing address, e-mail address, telephone number, company name, company type, USDOT number, your role, or any other information that the Services collect, which applicable law may consider personally identifiable, personal information, personal data, and other such designations;
  • Information about the device you use to access the Services;
  • Your IP address, Identifier for Advertisers (" IDFA"), Android/Google Advertising ID, International Mobile Equipment Identity (" IMEI"), or another unique identifier;
  • Your device characteristics and functionality (including information about your operating system, hardware, mobile network, browser, browser language, etc.);
  • Referring and exit web pages and URLs;
  • Your browsing history, including the areas within our Services that you visit and your activities there, including remembering you and your preferences;
  • Your device location or other geolocation information;
  • Certain other device data, including the time of day you visit our Services; and

  • Information about your internet connection and internet provider.

We collect this information:

  • Directly from you when you provide it to us (or from an Authorized User's employer), such as when filling in forms on the Services (including when registering for an Account, subscribing to a service, or requesting something from us, or when filling out surveys, if any such features are available to you).
  • Automatically as you or your Authorized Users navigate through the Services, including through the use of cookies, web beacons, and other tracking technologies (including information about your network or computing device) and analytics services;
  • From third parties, for example, for example, our business partners, drivers, brokers, shippers, service contractors, and affiliates;
  • Records and copies of correspondence (including email addresses), if you or your Authorized Users contact us through the Services;
  • When you engage in transactions on our Services;
  • When you or your Authorized Users run searches on our Services; and
  • When you or your Authorized Users contact our customer service agents, if available.

Information you provide through your Account may be stored in our CRM system or the CRM systems of our affiliated companies, and we may link your past browsing information to your Account.

  1. ANONYMOUS INFORMATION

As you navigate through and interact with the Service, we automatically collect certain anonymous information about your equipment, browsing actions, and patterns, including details of your visits to the Service, such as traffic data, and the resources that you access and use on the Service, as well as information about your computer and internet connection, including your IP address (a unique string of numbers that is automatically assigned to your computer by your Internet Service Provider), device data, geolocation data, operating system, and browser type (" Anonymous Information").

This information helps us to administer and improve the Service and the solutions we offer. We do not automatically collect Personally Identifiable Information (except in those situations where an IP address might allow for identification of an individual), but we may link Anonymous Information to Personally Identifiable Information from time to time in the ordinary course of providing the Services.

We use cookies and other automatic data collection tools to collect this Anonymous Information.

Automatic Data Collection Technologies

As you navigate through and interact with our Services, we may use automatic data collection technologies to collect certain information about you, your equipment, your technology providers, and your activities, including:

  • Details of your visits to our Services, including traffic data, browsing patterns, location data, logs, and other communication data and the resources that you access and use on the Services; and

  • Information about your device and about your internet connection and service provider, as set forth above.

The information we collect automatically may be statistical data and may also include Personal Identifiable Information, or we may maintain it or associate it with Personal Identifiable Information we collect in other ways or receive from third parties. This information enables us to:

  • Allow you to use and access the Services;
  • Prevent fraudulent activity and improve security functionality;
  • Assess the performance of the Services, including as part of our analytic practices or otherwise to improve the content, products or services offered through the Services;
  • Offer you enhanced functionality when accessing the Services, including identifying you when you sign into our Services, and keeping track of your specified preferences;
  • Deliver content relevant to your interests on our Services and third-party sites based on how you interact with our advertisements and/or content;
  • Estimate our audience size and usage patterns;
  • Speed up your searches; and
  • Analyze our services and products and perform market research.

When you visit or leave our Services by clicking a hyperlink or when you view a third-party site that includes our plugins or cookies (or similar technology), we may automatically receive the URL of the site from which you came or the one to which you are directed.

We may also receive location data passed to us from third-party services or GPS-enabled devices that you have set up, which we may useto improve the services we deliver, namely load matching, for fraud prevention and security purposes.

The technologies we use for this automatic data collection may include:

  • Cookies (or browser cookies). A cookie is a small file placed on the hard drive of your device. Note that while you can set your browser to not allow cookies, we may not be able to honor that request, and may track your activity and collect information about you and your online activities even when the browser is set to "do not track";
  • Flash Cookies. Certain features of our Services may use local stored objects (or Flash cookies) to collect and store information about your preferences and navigation to, from, and on our Services. Flash cookies are not managed by the same browser settings as are used for browser cookies and you may not be able to shut down our collection of and use of information through this technology;
  • Web Beacons, Pixels and Tags. Pages of our Services and our e-mails may contain small electronic files known as web beacons (also referred to as clear gifs, pixel tags, and single-pixel gifs) that permit us, for example, to count users who have visited those pages or opened an email and for other related website statistics (for example, recording the popularity of certain website content and verifying system and server integrity);
  • Embedded Scripts. An embedded script is programming code that is designed to collect information about your interactions with the Services, such as information about the links you click on;
  • ETag, or entity tag. An ETag, or entity tag, is a feature of the cache in browsers. It is an opaque identifier assigned by a web server to a specific version of a resource found at a URL. It is one of several mechanisms that HTTP provides for web cache validation. These allow websites to be more efficient and not serve content again, when data is already cached and ready to view;
  • Fingerprinting. Fingerprinting refers to the collection and analysis of information from your device, such as your operating system, plug-ins, system fonts and other data, for purposes of identification;
  • Recognition Technologies. Recognition technologies refers to various technology features used by websites, including application of statistical probability to data sets, which attempt to recognize or make assumptions about users and devices (e.g., that a user of multiple devices is the same user); and
  • Log Files. These track actions occurring on our Services, and which help us collect your IP address, browser type, Internet service provider, the webpages from which you came or to which you go before and after visiting our Services, and the date and time of your visits.

Google Analytics

We use Google Analytics, a service provided by Google, Inc. (" Google") for various purposes, including potentially to analyze traffic on our Services, to grow our business, to improve and develop our services, to monitor and analyze use of our services, to aid our technical administration, to increase the functionality and user-friendliness of our services, and to verify that users have the authorization needed for us to process their request. Google may collect your IP address, and other information (although typically not your name), and utilizes the data collected to track and examine the use of our Services, and to prepare reports for us based on your activities online, among other uses. As part of Google Analytics, Google tracks many variables, including what website you visited prior to coming to our Services, how long you stay on a particular page, and your geographic location. Please be aware that Google uses the data it collects from our Services for its own purposes, and we do not control or direct such usage. Hotjar

We may use Hotjar to understand how you interact with our Services, so that we can better assess your needs and incorporate your feedback into our Services. Hotjar is a service that uses cookies and other technologies to collect data about your device and your behavior on our Services (for example, how long you spend on pages and which links you choose). Such information may include your device's IP address (processed and stored in a de-identified form), device information, browser information, country location, and preferred language. Hotjar stores this information on our behalf in a pseudonymized user profile and Hotjar is contractually forbidden to sell any of the data that it collects on our behalf. Fullstory

We may use Fullstory understand the usability of the Services. FullStory services allow us to watch a DVR-like video playback of user sessions on the Services, enabling meaningful insight into your experience, as an effective way to identify usability problems and other areas for improvement.

  1. HOW WE USE AND/OR DISCLOSE INFORMATION YOU PROVIDE

The information you share with us may be used in a few ways:

  • Anonymous Information: Anonymous Information is used internally for administration and optimization of the Services, troubleshooting, and to help improve the quality of the Services and their design. We may use and share such aggregated, non-personally identifiable information, without restriction, including with existing and prospective third-party business partners, researchers, and advertisers.

  • Personally Identifiable Information: We will only use or disclose your Personally Identifiable Information as permitted by law and our agreements with you, including this Privacy Notice, or as otherwise desirable to facilitate the processing of an order. Personally Identifiable Information collected by us through the Service or otherwise provided to us may be disclosed and used by us and our subsidiaries and affiliates as follows:

    • to present our Services and its contents to you;
    • to provide you with information, products, or services that you request from us;
    • to provide you with notices about your Account and/or the Services;
    • to our subsidiaries and affiliates, including for administration of the Services;
    • to notify you about changes to the Services or any products or services we offer or provide through it;
    • to allow you to communicate with us;

    • to shippers, brokers, drivers, contractors, and service providers in connection with an order, as well as other third parties we use to support our business and who are bound by contractual obligations to keep Personally Identifiable Information confidential and to use it only for the purposes for which we disclose it to them;
    • to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of assets of ours or of our subsidiaries or affiliates, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding in which Personally Identifiable Information about users of the Services is among the assets transferred;
    • to fulfill the purpose for which you provide it;
    • if we believe disclosure is necessary or appropriate to protect the rights, property, or safety of Company, our customers, or others. This includes exchanging information with other companies and organizations for the purposes of fraud protection and credit risk reduction.
    • for any other purpose we may disclose when you provide the information; or
    • otherwise with your consent.

The Services may also be used to communicate with you in the following ways:

  • Company Communication. We may communicate with you about the Services and let you know about terms and policies and other important updates.
  • Administrator Communication. Your employer and/or its administrator may communicate with you via the Services.
  • Third-Party Communication. Third parties involved in order may communicate with you via the Services.
  • Geolocation Data. We may collect the geolocation of carriers to be able to offer them loads when they are in a particular area. We may also collect the geolocation of drivers with their consent and the explicit approval of carriers to provide the status of shipping.

These communications are necessary to provide the Services, and as such, you cannot opt-out of receiving them.

We may also disclose Personally Identifiable Information if we are required to do so by law or if we in good faith believe that such action is necessary to (a) comply with any court order, law, or legal process, including to respond to any government or regulatory request; (b) protect and defend our rights and property; (c) protect against misuse or unauthorized use of the Services; or (d) protect the personal safety or property of our users or the public. Please note that we might not provide you with notice prior to disclosure in such cases.

We may also disclose your Personally Identifiable Information to enforce or apply our Terms of Service and other agreements, including for billing and collection purposes.

We may combine the information we collect with information we receive from third parties such as government agencies (e.g., the Federal Motor Carrier Safety Administration) to allow us to monitor and improve motor carrier safety.

We do not currently sell, license, or transmit this information to third parties for those third parties' direct marketing activities or otherwise outside the scope of the Services without express authorization from you.

  1. SECURITY

The Services incorporate safeguards intended to protect the security, integrity, and privacy of the Personally Identifiable Information we have collected. We have put in place precautions designed to protect information from loss, misuse, and alteration, including Transport Layer Security (TLS) technology on the Services.

The safety and security of your information also depend on you. Where we have given you (or where you have chosen) a password for access to any parts of the Services, you are responsible for keeping this password confidential. You are not allowed to share your password with anyone. We urge you to be careful about giving out information in public areas of the Services. The information you share in public areas may be viewed by any user of the Services.

Unfortunately, the transmission of information via the Internet is not completely secure. Although we strive to protect your Personally Identifiable Information, we cannot guarantee the security of your Personally Identifiable Information transmitted to the Services. Any transmission of Personally Identifiable Information is at your own risk. We are not responsible for circumvention of any privacy settings or security measures contained on the Services.

Once we receive your transmission, we will use reasonable efforts to ensure its security on our internal systems. Depending on the nature of the inquiry, your communication may be discarded or archived. Please note that your e-mail, like most, if not all, non-encrypted Internet communications, may be accessed and viewed by other Internet users without your knowledge and permission, while in transit to us. For that reason, to protect your privacy, please do not use e-mail to communicate information to us that you consider sensitive or confidential.   1. CONSENT TO RECEIVE PHONE AND TEXT MESSAGES

By providing your phone number and clicking submit online, you agree to our Terms of Service and this Privacy Notice, and authorize us to make or initiate sales calls, text messages and pre-recorded voicemails to that phone number using an automated system. Your agreement is not a condition of purchasing any products, goods, or services and you may elect to do business with us over the phone. Message & data rates may apply.

  1. EXTERNAL LINKS

The Services may provide links to various websites that we do not control. When you click on one of these links, you will be transferred out of the Services and connected to the website of the organization that you selected.

We are not responsible for the nature, quality, or accuracy of the content or opinions expressed on such websites, and such websites are not investigated, monitored, or checked for quality, accuracy, or completeness by us.

Inclusion of any linked website on the Services does not imply or express our approval or endorsement of the linked website or any of the content, opinions, products, or services provided through the Services. We exercise no control over linked sites even if an affiliation exists between the Services and a third-party website.

Each of these linked sites maintains its own independent privacy and data collection policies and procedures. While we expect our business partners and affiliates to respect the privacy of our users, we cannot be responsible for the actions of third parties. If you visit a website that is linked to or from the Services, we encourage you to consult that website's privacy policy before providing any Personally Identifiable Information and whenever interacting with any website.

  1. DO NOT TRACK

Do Not Track (" DNT") is a concept promoted by certain regulatory authorities and industry groups for development and implementation of a mechanism that would allow internet users to control the tracking of their online activities across websites. Currently, various browsers (including Internet Explorer, Firefox, and Safari) offer a DNT option that allows a user to set a preference in the browser to not have his/her activities on the internet tracked. You can usually access your browser's DNT option in your browser's preferences. When a user's browser is set to DNT, some cookies and other tracking technologies may become inactive, depending on how the website visited responds to DNT browser settings. If that occurs, the website visited will not recognize you upon return to that website, save your passwords or user names, and some other features of a website may become unavailable or not function properly. The Services currently does not take any action when it receives a DNT request.

  1. CALIFORNIA RESIDENTS

California Civil Code Section § 1798.83, known as the "Shine The Light" law, permits users of our Services who are California residents to request and obtain from us a list of what Personal Identifiable Information (if any) we disclosed to third parties for direct marketing purposes in the preceding year, and the names and addresses of those third parties. You may request this information from us no more than once a year, but such request will be handled by us free of charge to you. To make such a request, please send an email to privacy@ship.cars.

We do collect Personally Identifiable Information over time and across different Internet websites or online services.

Although it is not always possible to remove or modify such information, we will make reasonable efforts to do so.
